Terms & Conditions
By purchasing any AD-IOS plan, subscription, or service, you acknowledge that you have read, understood, and agree to the following Terms & Conditions.
1. Service Agreement
All AD-IOS plans require a minimum 12-month service agreement.
By completing your purchase, you agree to the 12-month commitment associated with your selected plan. If services are canceled before the end of the agreement term, or if services are requested outside the scope of your selected plan, AD-IOS reserves the right to bill additional work performed at our standard rate of $85 per hour.
AD-IOS performance and deliverables are contingent upon AD-IOS maintaining primary ownership and authority over implemented systems, workflows, SEO strategy, website modifications, and integrations. Third-party changes or conflicting vendor involvement may impact performance and release AD-IOS from responsibility for resulting issues.
2. Website Development Timeline
Most websites are launched within 6–8 weeks; however, all timelines are estimates and are not guaranteed.
Project timelines depend on timely communication, approvals, content submissions, and feedback from the client. Delays in providing requested materials may extend project timelines.
AD-IOS is not responsible for delays resulting from incomplete information, delayed approvals, changes in project scope, third-party delays, or circumstances outside of our control.
3. Domain Management
AD-IOS may register and manage domains on behalf of clients for $39.99 per year.
While domains may be managed through our GoDaddy account for administrative purposes, ownership of the domain always remains with the client, provided the client’s account is current and in good standing.
Clients may request a domain transfer once all outstanding balances have been paid in full.
4. Payment Terms
Recurring services are billed automatically according to the selected plan.
Accounts must remain current to avoid interruptions to website hosting, domain management, CRM access, marketing services, software subscriptions, and other active services.
AD-IOS reserves the right to suspend or terminate services for accounts with outstanding balances.
5. Additional Services
Services requested outside the scope of the selected plan, including but not limited to additional revisions, custom development, integrations, consulting, content creation, graphic design, or marketing services, will be billed at $85 per hour unless otherwise agreed to in writing.
6. Client Responsibilities
Clients are responsible for providing all requested content, images, logos, branding assets, approvals, account access, and feedback in a timely manner.
Failure to provide requested materials may delay project completion and website launch dates.
Clients are responsible for reviewing all deliverables for accuracy prior to publication or launch.
7. Content, Images & Copyright
Clients are solely responsible for ensuring they have the legal rights, licenses, and permissions to use any content they provide to AD-IOS, including but not limited to images, photographs, videos, logos, trademarks, graphics, text, and other intellectual property.
By providing materials to AD-IOS, the client represents and warrants that they own the content or have obtained all necessary rights and permissions for its use.
AD-IOS is not responsible for copyright infringement, trademark violations, or legal claims resulting from client-provided content.
When AD-IOS provides stock photography, videos, graphics, or other creative assets, we utilize properly licensed materials from approved third-party providers. These licenses may be subject to usage restrictions and may not be transferable outside of the AD-IOS platform or environment.
AD-IOS reserves the right to remove, refuse, or replace content that is unlawful, misleading, offensive, or infringes upon the rights of others.
8. Website Platform & Ownership
Clients retain ownership of their domain names and any original content, images, logos, and branding assets they provide.
Websites developed by AD-IOS may utilize licensed software, premium plugins, third-party integrations, templates, proprietary systems, automation tools, and subscription-based technologies that are not transferable outside of the AD-IOS environment.
For this reason, AD-IOS does not provide packaged website files or guarantee compatibility with third-party hosting environments.
If a client chooses to discontinue services, website migration, rebuilding, or transferring to another provider will be the client’s responsibility unless otherwise agreed to in writing.
9. CRM Data Ownership & Export Rights
Client-owned data, including contacts, notes, conversations, forms, appointment history, documents, and other information entered into the LeadConnector CRM, remains the property of the client.
Clients may export their data while their account is active or prior to account closure, provided all outstanding balances have been paid in full.
AD-IOS retains ownership of all proprietary systems, custom workflows, automations, snapshots, templates, AI configurations, integrations, campaigns, and processes created as part of its services unless otherwise agreed to in writing.
Access to the LeadConnector platform and subscription-based services will terminate upon cancellation of services.
10. Third-Party Services
AD-IOS utilizes third-party software, hosting providers, APIs, and integrations to provide certain services. AD-IOS is not responsible for outages, disruptions, pricing changes, policy changes, or service interruptions caused by third-party providers.
11. Pricing Changes
AD-IOS reserves the right to modify pricing for services with a minimum of 30 days’ written notice.
Any pricing changes will not alter the terms of an active agreement until the appropriate notice period has been provided.
12. Cancellation Policy
Clients may cancel recurring services by providing 30 days’ written notice prior to their next billing date.
The 30-day notice requirement does not waive or replace the minimum 12-month service agreement. Clients who cancel before fulfilling their 12-month commitment remain responsible for any remaining contractual obligations.
During the 30-day notice period, all active services, subscriptions, hosting, CRM access, and support will remain active and billable.
Upon termination of services, access to AD-IOS proprietary systems, software licenses, hosting environments, and subscription-based services will end unless otherwise agreed to in writing.
13. Limitation of Liability
AD-IOS shall not be liable for any indirect, incidental, special, consequential, or business-related damages, including but not limited to loss of revenue, profits, leads, rankings, website traffic, data, or business opportunities arising from the use of our services.
The total liability of AD-IOS shall not exceed the amount paid by the client for services during the preceding 12 months.
